FrogBox Acceptable Use Policy

This Acceptable Use Policy applies to your access to and use of FrogBox applications, platforms, services and associated technology (the Apps) and forms part of the FrogBox Terms & Conditions (Agreement).

Capitalised terms not defined in this Policy have the meanings given to them in the Agreement.

1. Purpose

FrogBox provides technology used by sporting organisations to capture, manage, stream, distribute and engage with sports content.

This Policy is intended to protect FrogBox customers, users, infrastructure and third party services and to ensure that the Apps remain secure, available and reliable for legitimate use.

You must use the Apps reasonably, responsibly and in accordance with this Policy, the Agreement and your applicable Plan.

2. General acceptable use

You must only use the Apps:

(a) for lawful purposes;

(b) in accordance with the Agreement, your Plan and any applicable Documentation;

(c) in a manner consistent with the functionality and intended operation of the Apps;

(d) using accounts, credentials, devices and services you are authorised to use; and

(e) in a manner that does not materially interfere with the availability, security, performance, integrity or operation of the Apps or associated services.

3. Prohibited use

You must not use, or attempt to use, the Apps to:

(a) engage in unlawful, fraudulent, deceptive or malicious activity;

(b) upload, capture, stream, distribute or otherwise Handle content that you do not have the necessary rights, permissions or consents to use;

(c) infringe the intellectual property, privacy, confidentiality or other rights of any person;

(d) distribute malware, viruses, ransomware or other harmful code;

(e) gain, or attempt to gain, unauthorised access to an App, account, system, network, data or Administrative Credentials;

(f) interfere with, disable, circumvent or defeat any security, authentication, access control, usage control or technical restriction;

(g) reverse engineer, probe, scan, test or otherwise attempt to identify vulnerabilities in the Apps except where expressly authorised by FrogBox;

(h) impersonate another person or organisation, misrepresent your authority or use another person's account without permission;

(i) use the Apps in a way that materially disrupts or degrades the experience or services available to other FrogBox customers or users; or

(j) assist or permit another person to undertake any of the activities above.

4. Usage and platform resources

Your Plan may include specific streaming hours, usage allowances, storage, bandwidth, credits or other entitlements.

You may use the entitlements included in your Plan for their intended purpose. Use is not excessive or unreasonable merely because you use, approach or exhaust an entitlement that you have legitimately acquired under your Plan.

However, you must not use the Apps in a manner that is excessive, abnormal, abusive or disproportionate having regard to the intended use of the Apps, where that use materially affects, or is reasonably likely to materially affect:

(a) the availability or performance of the Apps;

(b) FrogBox infrastructure, storage, bandwidth, computing or other resources;

(c) other customers or users;

(d) third party platforms or services used by FrogBox; or

(e) FrogBox's ability to securely and reliably provide its services.

Where reasonably practicable, FrogBox will contact you regarding such usage and provide you with a reasonable opportunity to modify the relevant usage before imposing material restrictions, unless immediate action is reasonably necessary to protect the Apps, other customers, third party services or FrogBox infrastructure.

5. Automated and programmatic use

You must not use bots, scripts, automated tools, APIs, scraping technologies or other automated processes to access, extract from, upload to or interact with the Apps unless:

(a) that functionality is provided or expressly permitted by FrogBox;

(b) it is used in accordance with any applicable Documentation, Integration requirements or API conditions; and

(c) it does not place unreasonable demand on FrogBox or third party systems.

You must not circumvent rate limits, quotas, technical restrictions or other controls applied to automated or API based access.

6. Streaming and content distribution

When using FrogBox to capture, stream, publish or distribute sporting content, or other content expressly permitted by FrogBox, you are responsible for ensuring that you have all necessary rights, permissions and consents required by the Agreement and applicable law.

You must not knowingly use the Apps to stream or distribute content in a manner that:

(a) breaches applicable media, broadcasting or content rights;

(b) circumvents restrictions imposed by a Governing Body or other rights holder that apply to you;

(c) breaches applicable integrity, safeguarding or other requirements imposed by a Governing Body that apply to your or your use of the Apps;

(d) facilitates unlawful redistribution or piracy; or

(e) uses the Apps as a general purpose live streaming service or for non-sporting events, except where expressly permitted by FrogBox; or

(f) materially interferes with FrogBox's streaming or distribution infrastructure.

7. Accounts and credentials

You are responsible for maintaining the confidentiality and security of your accounts and Administrative Credentials.

You must not:

(a) share credentials with people who are not authorised to use your account;

(b) sell, transfer or commercially provide access to an account except where expressly permitted by FrogBox;

(c) create accounts or credentials for the purpose of circumventing Plan, access or usage restrictions; or

(d) knowingly allow an unauthorised person to access the Apps through your account.

8. Third party services

Some FrogBox Apps may Integrate with or rely on third party platforms or services, including streaming, social media, authentication and data platforms.

Where you use those Integrations, you must comply with the applicable third party terms, policies, restrictions and requirements.

You must not use FrogBox to circumvent or facilitate a breach of restrictions imposed by a third party platform or service.

9. Protecting the FrogBox platform

FrogBox may apply reasonable and proportionate technical or operational measures where reasonably necessary to protect the security, availability, performance or integrity of the Apps, associated services, FrogBox infrastructure, other customers or applicable third party services.

Such measures may include reasonable access controls, rate limits, security controls or other technical restrictions necessary to prevent or respond to misuse, security risks, abnormal system activity or material service impacts.

Where reasonably practicable, FrogBox will seek to minimise the impact of those measures on legitimate use of the Apps and the entitlements available under your Plan.

10. Breaches of this Policy

If FrogBox reasonably believes that your use of the Apps breaches this Policy, FrogBox may take reasonable and proportionate action having regard to the nature, severity and impact of the breach and in accordance with the Agreement.

Depending on the circumstances, this may include:

(a) contacting you and requesting that the relevant activity stop or be modified;

(b) applying reasonable technical restrictions directed at the affected activity;

(c) restricting or suspending access to an affected feature, service or App where reasonably necessary; or

(d) exercising any other rights available to FrogBox under the Agreement.

Where a breach is capable of being remedied, FrogBox will, where reasonably practicable, provide you with a reasonable opportunity to remedy the breach before taking more significant action.

FrogBox may take immediate action where reasonably necessary to address unlawful activity, a material security risk, actual or reasonably likely material disruption to the Apps or other customers, or another circumstance in which immediate action is reasonably necessary to protect FrogBox, its customers, users or third party services.

11. Relationship with your Plan

This Policy does not replace or alter the specific usage allowances or entitlements included in your Plan.

Where your Plan permits a particular level of ordinary legitimate usage, FrogBox will not treat that usage as a breach of this Policy solely because of the volume of that usage.

Additional Fees, Plan upgrades or additional usage requirements are governed by your Plan and the Agreement.

12. Changes to this Policy

FrogBox may update this Policy from time to time in accordance with the Agreement.The current version will be made available through the FrogBox website or Apps.
